Location: Moscow Reports to: Legal Counsel BCG’s Legal function is a critical element in the firm’s management infrastructure. It acts as both a trusted advisor to management and an activist agent of change. It is a global community of collaborative professionals with an immutable commitment to excellence. Legal Counsel with main focus on Commercial Contracting based in Moscow is expected to be a seasoned and skilled attorney with managerial experience, able to independently address the full range of legal issues Moscow office of BCG is facing and with a particular expertise in all aspects of commercial contracting, includingreview of agreements with BCG’s clients, suppliers, subcontractors etc. and negotiations with BCG Clients. While membr of a Global Legal team, Legal Counsel is expected to have primary focus on Russia and certain nearby countries (Kazakhstan, Uzbekistan, Azerbaijan, and other countries as may be necessary). Apart from contracting, advice in fields of entity management, including dispute resolution, IP, sanctions, general compliance including ABC and Insider Trading Compliance are required. Knowledge of complex employment matters, data privacy, conflict of interest matters is a plus. Position Responsibilities: Serve as champion of BCG contracting and risk management standards; Delegate, lead and motivate others to deliver the highest standards, providing direction, mentoring and coaching Draft, review and negotiate a wide array of commercial agreements, including master services agreements, other client and procurement agreements, licensing agreements, subcontractor and partnership agreements and nondisclosure agreements; Support RfP process from legal perspective (reviewing contarcts and advising on wide range of matters there necessary); Be experienced in quickly and independently drafting legal documents; Implement and help to develop and champion BCG contracting and other policies and processes and provide assistance to seek approvals on deviations of contract or other policies; Provide general counseling and management of a full spectrum of business and legal issues, which, in addition to licensing and intellectual property matters, may include transaction structuring and support, human resources and employment matters, data protection, competition law and trade regulations, and conflicts of interests; Identify risks and issues; suggest alternative solutions; ensure proper escaltions; Ensure compliance, including sanctions matters; Manage corporate issues, including appropriate registration actions for certain legal entities within BCG Group of companies; Team successfully across BCG and integrate fully into BCG's Global Legal Team to resolve or support resolution of complex legal issues; Act as bridge and point of contact between functions and business, and local and global functions for resolving legal issues; Contribute to developing and maintaining Legal Team know-how and templates; Perform other duties as assigned or required. Job Requirements : : Graduate degree (J.D.) in Law from an accredited law school and admitted to practice; 4-6 years of commercial contracting experience with international exposure; 4 years with a reputable law firm preferable; substantial prior relevant in-house experience preferred; Excellent written and oral communication skills; Russian fluency; English fluency; additional languages is a plus; Superior analytical skills and creative problem solving ability, with an appreciation for striking a practical balance between business and legal objectives; Talent for absorbing new skill sets and areas of expertise quickly and comfortably and the flexibility to deal with a diverse international set of clients and advisors; The ability to quickly comprehend complex sets of international laws and regulations and interpret those laws within the context of BCG's global policies; A positive, dynamic, client-focused approach to legal practice.
